Job Description

As a Legal Counsel, your main responsibilities will include:

    • Conduct legal due diligence for investment transactions and identify key legal and regulatory risks.
    • Advise on transaction structures, shareholder arrangements, investment terms and exit mechanisms.
    • Review, negotiate and manage a wide range of investment and corporate legal documentation throughout the deal lifecycle.
    • Support regulatory and compliance matters relating to Hong Kong licensed activities and liaise with relevant authorities when required.
    • Provide ongoing legal advice on portfolio management, governance, internal controls and cross-functional business initiatives.



The Successful Applicant

A successful Legal Counsel should have:

    • Qualified lawyer or legal professional with strong technical legal training; legal qualifications from Hong Kong, Mainland China or other common law jurisdictions are advantageous.
    • Minimum 3 years of relevant experience in investment, private equity, venture capital, funds, corporate transactions or financial services legal work.
    • Fluent in English and Mandarin with the ability to draft and review legal documentation in both languages.
    • Knowledge of investment transactions, corporate governance and financial regulatory frameworks
