About Our Client

Our client is a leading State-Owned Enterprise with a significant international investment portfolio and growing global presence. The company is actively involved in strategic investments, mergers and acquisitions, joint ventures, and cross-border transactions across multiple sectors.

Job Description

  • Lead and manage the legal aspects of mergers and acquisitions, divestments, joint ventures, private equity investments, and other strategic transactions.
  • Structure, negotiate, review and draft transaction documents,
  • Conduct and oversee legal due diligence exercises.
  • Identify, assess and mitigate legal and regulatory risks associated with transactions.
  • Advise senior management on legal implications of strategic initiatives and investment opportunities.
  • Support overseas investments and cross-border projects across various jurisdictions.
  • Ensure compliance with applicable laws, regulations, internal policies and SOE governance requirements.
  • Advise on corporate governance matters, board resolutions, shareholder matters and corporate restructuring.
  • Monitor legal and regulatory developments affecting the Company's investment activities.
  • Work closely with investment, finance, business development and senior leadership teams.
  • Manage relationships with external counsel and other professional advisors.
  • Support negotiations with counterparties, regulators and government-related entities where required.

The Successful Applicant



  • Qualified lawyer of HK, 8-10 years' post-qualification experience (PQE).
  • Strong background in M&A, private equity, corporate finance and investment transactions.
  • Experience gained from reputable international or top-tier Hong Kong law firms.
  • Prior in-house legal experience with a multinational corporation, financial institution, investment platform, sovereign wealth fund, SOE, or large conglomerate is highly preferred.
  • Proven experience handling complex cross-border transactions and investments.
