About Our Client

Our client is a Hong Kong-listed company seeking a Senior / Legal Counsel to support its growing legal and compliance needs. This is a key in‑house role covering HK Listing Rules compliance, corporate governance, and broad commercial matters, working closely with senior management and business stakeholders.

Job Description

  • Advise on compliance with the Hong Kong Listing Rules, Securities and Futures Ordinance, and other relevant regulatory requirements
  • Handle listed company obligations including announcements, circulars, notifiable and connected transactions, and continuing compliance matters
  • Support corporate governance matters and board‑related documentation
  • Draft, review, and negotiate a broad range of commercial agreements
  • Provide day‑to‑day legal advice to business units on operational and commercial matters
  • Support corporate transactions, strategic projects, and internal initiatives
  • Liaise with external counsel, regulators, and professional advisers as required
  • Identify legal and compliance risks and recommend practical solutions
  • Assist with the development of internal policies, procedures, and legal training

The Successful Applicant

  • Qualified lawyer in Hong Kong or a common law jurisdiction
  • Minimum 3 years' post‑qualification experience, candidates with more experience can be considered as Senior Legal Counsel
  • Solid experience in Hong Kong Listing Rules compliance and corporate regulatory matters
  • Background from a reputable law firm or listed company,
  • Ability to work independently and communicate effectively with senior stakeholders
  • Good organisational skills and attention to detail
  • Fluency in English; Cantonese and/or Mandarin is an advantage
