About Our Client
Our client is a sizeable fund management platform which strong backing. Company is well established in Hong Kong with over 100 employees, being a subsidiary company under an extremely established conglomerate. The company is excellent in managing private equity funds and other investment vehicles in BVI, Cayman Islands and China mostly investing in the group company as well as other related business also, namely, consumer goods, power, cement, gas, pharmaceuticals and real estate.
Reporting to the General Counsel, you will work in a small team of 3 lawyers and 1 paralegal, covering a range of legal matters including assessing legal risk associated with and giving internal advice on legal structure and issues of private equity investment transactions in Hong Kong and oversea, reviewing and negotiating various documentation for private equity investment transactions in Hong Kong and oversea with assistance from external counsels, as well as reviewing and negotiating various engagement agreements with various service providers of our managed funds and our own. You will also look after company secretarial matters of Hong Kong and oversea investment vehicles under the group company's local and overseas subsidiaries. You will set up and monitor the implementation of internal policies & procedure as may be required internally, and prepare various internal approval memorandums.
The Successful Applicant
The successful candidate will possess at least 3 years' PQE being common law qualified, with good experience gained in the areas of private equity and M&A. Any experience in financing and/or funds formation is useful though not mandatory. Strong transactional experience is required as is the ability to work in a commercial environment where you will prioroitize the company's best interest whilst ensuring the company is in compliance with regulatory guidelines. Strong English and Putonghua skills is required.
